Effective 11 October 2026 · MacroDark LLC · Florida, United States
Terms of Service
These Terms govern every inquiry, quote, and project with MacroDark LLC (“MacroDark,” “we,” “us”), and use of the self-serve service on macrodark.com described in section 7A (the “Service”). Using this site or sending a brief is an offer to do business under these Terms. A signed quote or statement of work (“SOW”) controls if it conflicts with this page. This page is not legal advice.
1. Who we are
MacroDark LLC is a Florida limited liability company. We provide custom websites, application MVPs, simple bots, a voice desk, and related integrations. We are independent of HousePeru and of any personal brand used by an individual contractor.
2. No work without a written scope
A message, call, or form is not a contract. Work starts only after (a) a written SOW or quote that lists deliverables, price, and timeline, and (b) the deposit stated in that SOW. Verbal promises do not amend the SOW.
3. What we do not promise
- App Store or Play Store approval, ranking, or featured placement.
- Search ranking, ad performance, revenue, or lead volume.
- Unsupervised AI agents that publish or spend money without your approval.
- Any Service feature, limit, or price that is not shown on the pricing page or stated in section 7A.
- Unlimited revisions, retainers, or “done when you like it” work.
4. Client duties
You must supply content, access, trademarks, and decisions on time. Delay by you pauses the timeline. You warrant that materials you give us are yours to use and do not infringe third-party rights. You are responsible for accounts, domains, app-store developer seats, phone numbers, and carrier or platform rules on your side.
5. AI and bots
Some work uses third-party AI, including xAI. Outputs can be wrong, incomplete, or similar to other outputs. You must review before publish. We do not warrant that AI output is unique, accurate, or fit for a regulated use. You will not use bots to spam, impersonate, collect data unlawfully, or contact people who did not consent.
6. Voice desk
If an SOW includes voice, you must provide a lawful script, hours, handoff contact, and any required consent language. You are the caller/seller of record. You will obtain and keep all consents required by Florida law, the TCPA, and carrier rules for recording, autodialing, or AI voices. We may refuse a script that looks unlawful. Call recordings, if any, are tools for the project, not a compliance archive we keep forever.
7. Fees and refunds
Prices are in US dollars. Deposits are earned when work starts and are not refundable except as the SOW states. We may pause work if an invoice is late. Chargebacks without a good-faith dispute are a breach. Hosting, domains, app-store fees, phone numbers, AI credits, and third-party SaaS are yours unless the SOW says we bill them as pass-through.
7A. The Service: plans, tokens, request size, and add-ons
This section applies to the Service. A plan gives you the limits shown on the pricing page at https://www.macrodark.com/pricing/ when you pay. The pricing page lists the plans, prices, billing periods, and limits. This section sets the rules. Before we take payment, we show the price, the billing period, that the plan renews until you cancel, how to cancel, and the refund rule, next to your consent. You may cancel online at any time in your account. Cancellation stops the next charge, and access continues through the end of the paid period. If the pricing page and this section differ on a number, the pricing page at the time of purchase controls that number.
Tokens. Tokens are MacroDark’s own usage units for Superintelligence inside the Service. MacroDark measures them. Plan tokens count both the input sent with a request and the output it produces, as measured by MacroDark, except that the input of a long request on Scale is deducted from the long-context token balance described below. Tokens have no cash value and cannot be transferred, sold, or used outside MacroDark. An action does not use a fixed number of tokens, and we do not promise a number of actions for any amount of tokens. Plan tokens reset each month and do not carry over. At 0 plan tokens, Superintelligence stops and the editor keeps working.
Request size. Each Superintelligence request must be below the per-request input limit shown on the pricing page, currently 100,000 input tokens, as counted by MacroDark. Input tokens are everything sent with the request, such as your prompt, page content, and attached files. MacroDark may decline, stop, or not process a request at or above that limit, unless your plan offers long-context use and you confirm the request as described below.
Long-context token balance (Scale, where offered). Where MacroDark offers it, a Scale customer may buy long-context token packs: 1 million long-context tokens for $45, 5 million for $210, or 25 million for $1,050. Pack purchases are limited to $1,050 per calendar month per account. Each pack is a purchase the customer makes and authorizes at that time. There is no automatic reload: MacroDark charges your payment method only when you buy a pack. A long request is a request of 100,000 input tokens or more and below 190,000 input tokens. Requests of 190,000 input tokens or more are not processed on any plan. Each long request deducts exactly its input tokens, as counted by MacroDark, from your long-context token balance. Before each long request, MacroDark shows the tokens to be deducted and your balance before and after, and deducts them only if you confirm. If your balance is not enough, the request is not processed. If a long request fails before returning a result, the tokens are returned to your balance. The output of a long request counts toward your plan tokens, and each long request can produce at most 100,000 output tokens, or your remaining plan tokens if fewer. If you have 0 plan tokens, a long request is not processed. If you move to a lower plan, the balance stays on your account and can be used again if you return to Scale. The balance can be used only for long requests on Scale, has no cash value, cannot be transferred, does not expire, and is non-refundable, except where required by law. Long-context tokens are MacroDark’s own usage units for its service. A pack is not a sale, resale, or pass-through of any third-party model, API, or token.
Add-ons. Any plan may buy add-ons. An add-on expires 30 days after you buy it, and unused capacity ends with it. Superintelligence add-ons: $30 for 1 million tokens, $60 for 2 million, and $120 for 4 million. Video add-ons, where MacroDark offers them: $15 for 4,000 watched minutes a month and 1,000 stored minutes; $25 for 10,000 watched minutes a month and 1,000 stored minutes; $35 for 15,000 watched minutes a month and 1,000 stored minutes. Stored minutes are a total, not a monthly amount. Watched and stored video minutes, from the plan and from add-ons, are one pool for your account, shared across all sites in your account. They are not set per site. On Seed and Hatch, a video add-on turns hosted video on for those 30 days. At the watch cap, the player shows a thumbnail (a still image).
Service refunds. Purchases of the Service are non-refundable, except where required by law or where these Terms provide otherwise. A plan fee is not refundable once the billing period has started. An add-on or a long-context token pack is not refundable once bought, used or not. Closing the account, moving to a lower plan, or not using the Service does not create a refund. We do refund a charge made after a cancellation we received before the renewal, a duplicate charge, a charge for a plan, add-on, or pack we never made available, and any amount a statute of your state does not allow us to keep.
Liability for the Service. Section 10 applies to the Service. For the Service, the cap in section 10 is the fees you actually paid us for the Service in the ninety days before the claim.
7B. Use of Superintelligence
You must use Superintelligence in line with this section and with our Acceptable Use Policy and the xAI Acceptable Use Policy, both of which are part of these Terms for any use of Superintelligence. You may not use Superintelligence or its output: (a) for anything illegal or harmful, including sexual content involving minors, intimate images of a real person without consent, or deceptive impersonation of a real person; (b) to develop, train, or improve any AI model; (c) to present output as made by a person where that would mislead others; (d) after removing watermarks or provenance data from generated media; or (e) if you are under 18, or if you are located in, or act for a person in, a country or on a list subject to U.S. sanctions or export restrictions. Where you publish output, you should label it “Created with Grok” or “Written with Grok.” MacroDark may suspend or stop Superintelligence for an account if it reasonably believes this section was broken, or if its model provider requires it. As between you and MacroDark, you own the output you create, subject to these Terms. Output may not be unique, and MacroDark does not warrant that output is protected by copyright or does not infringe the rights of others. MacroDark is not affiliated with, endorsed by, or sponsored by xAI.
7C. Widgets & Plugins and Marketplace
Where MacroDark offers them, a plan may create Widgets & Plugins and sell them on the Marketplace as shown on the pricing page. A public Widget or Plugin can be used by any MacroDark account, inside MacroDark only. It cannot be exported or used outside MacroDark. A purchased Widget or Plugin is a license to use it inside MacroDark; the file is not delivered. A private Widget or Plugin stays in your workspace. Your share of a sale is the percentage shown on the pricing page for your plan, after fees. Fees are payment processing fees, refunds, and chargebacks. If a sale is refunded or charged back, that amount comes out of your share. Payouts require that you complete identity and payout verification with our payment provider and accept its terms. You are responsible for the Widget or Plugin you publish. You warrant that you have the rights to it and that it does not violate these Terms or the Acceptable Use Policy. MacroDark may remove a Widget or Plugin that breaks these Terms.
8. Intellectual property
Until invoices for that SOW are paid in full, MacroDark owns all work product. After payment, you own the custom deliverables listed in the SOW, excluding our pre-existing tools, components, prompts, internal CMS, and third-party software. We may show non-confidential work in our portfolio unless the SOW forbids it.
9. Confidentiality
Each party will keep the other’s non-public information confidential, except as required by law or to perform the SOW. You will not upload secrets to public models through us and expect secrecy beyond ordinary care.
10. Limitation of liability
Services are provided as-is for the SOW. To the maximum extent allowed by Florida law, MacroDark is not liable for lost profits, lost data, reputational harm, regulatory fines, or indirect damages. Our total liability for a project is capped at the fees you actually paid us for that SOW in the ninety days before the claim. Some limits may not apply where the law forbids them.
11. Indemnity
You will defend and indemnify MacroDark and its members against claims arising from your content, your customers, your marketing, your failure to get consent, or your use of the deliverables outside the SOW.
12. Term and termination
Either party may end an SOW for material breach that is not cured in ten days after written notice. We may stop immediately if you demand illegal work or do not pay. On termination you pay for work done and non-cancellable third-party costs.
13. Site use
Do not scrape, attack, or misuse this site. Form submissions must be true. We may refuse any project.
14. Law
Florida law governs, without regard to conflict rules. Exclusive venue: state courts in Orange County, Florida, or the federal court that sits over that county. You waive jury trial to the extent the law allows. If a clause fails, the rest stays.
15. Contact
Notices: the email you put on the SOW, and for us the address on the quote. Phone +1 (407) 227-3945. WhatsApp may be used for operations; it does not change these Terms.
